Terms & Conditions

These terms explain the conditions for using the PIX3LS website and engaging our website development and related digital services. We aim to keep our working arrangements clear, fair, and transparent.

Effective Date: [Insert publication date]

1. Introduction

Welcome to PIX3LS Web Solutions ("PIX3LS," "we," "our," or "us"). These Terms & Conditions govern your use of our website and the website development and related services we offer.

By using our website, submitting a quote request, or engaging our services, you agree to the terms applicable to that activity. If you do not agree with these terms, please discontinue using the website or contact us to discuss any concerns.

These terms should be read together with any project proposal, quotation, or separate written agreement that applies to your project.

2. Our Services

PIX3LS provides website development, website design, and related digital services. The specific services available for a project depend on the requirements discussed and agreed upon with the client.

Services, features, deliverables, and technical requirements will be described in the applicable quotation or project agreement.

Any service, feature, integration, or additional work not included in the agreed project scope may require a separate quotation and approval.

3. Quotations and Project Approval

Customers may submit project requirements through the PIX3LS website or contact us directly to request a quotation.

A quote request does not automatically establish a client relationship or require either party to proceed with a project. We may need to clarify requirements before preparing a proposal or quotation.

Quotations will describe the proposed scope, pricing, deliverables, and other applicable conditions. Any validity period stated in a quotation will apply to that quotation.

A project will proceed once the client and PIX3LS have agreed on the applicable project terms and the required starting conditions. These may include written approval, initial payment, or other requirements specified in the quotation or agreement.

4. Pricing and Milestone Payments

Project pricing is based on the agreed scope of work and the requirements of the client. The total price and applicable charges will be stated in the quotation or project agreement.

PIX3LS uses a milestone-based payment arrangement for projects. The applicable payment stages, amounts, and due dates will be agreed upon with the client and documented in the quotation or project agreement.

Depending on the project, milestones may correspond to agreed stages of development, delivery, review, or completion. The actual milestones will be defined for each project rather than assumed to be the same for all clients.

Clients are responsible for making payments according to the agreed schedule. If a payment is delayed, project work or delivery may be affected. PIX3LS will communicate with the client regarding any material impact on the project schedule.

Any additional fees, third-party charges, or changes to the agreed price must be communicated and agreed upon before the corresponding additional work or expense is undertaken.

5. Project Scope and Changes

The agreed quotation or project agreement defines the work PIX3LS is expected to deliver.

Requests that change the agreed design, functionality, content, integrations, or other project requirements may affect the price and delivery schedule.

When a requested change falls outside the agreed scope, PIX3LS will discuss its potential impact with the client. Additional work will be subject to agreement on the applicable cost, scope, and timing.

Clients should seek written confirmation of significant scope changes to help both parties maintain a clear record of the agreed requirements.

6. Client Responsibilities

To help a project proceed efficiently, clients are responsible for providing accurate project information, required content, brand assets, and other materials reasonably necessary for the agreed work.

Clients are also responsible for reviewing submitted work, providing feedback and approvals, and responding to reasonable project-related questions within an agreed timeframe.

Clients must have the necessary rights or permissions to provide any text, images, logos, documents, software, or other materials they ask PIX3LS to use.

Delays in supplying materials, providing feedback, approving work, or completing required actions may affect the project schedule. Any resulting changes to milestones or delivery dates will be communicated as appropriate.

7. Design Reviews and Revisions

Design reviews, feedback, and revisions will be handled according to the scope and arrangements stated in the applicable quotation or project agreement.

Clients should provide clear, consolidated feedback wherever practical to help avoid unnecessary rework and delays.

Requests for substantial redesigns, additional features, or changes to previously approved requirements may be treated as additional work if they fall outside the agreed scope.

Any revision limits, included review rounds, or additional revision charges will be specified in the applicable project agreement where relevant.

8. Project Timelines and Delivery

Estimated timelines will be discussed and agreed upon based on the project's scope, requirements, and dependencies.

Delivery dates may be affected by changes in scope, delayed client feedback, missing materials, third-party services, technical issues, or circumstances beyond reasonable control.

If a material delay becomes apparent, PIX3LS will communicate with the client regarding the circumstances and any necessary schedule adjustments.

A website will be considered delivered according to the deliverables and completion arrangements specified in the applicable project agreement.

9. Cancellations, Refunds, and Project Termination

If a client wishes to cancel a project, the client should notify PIX3LS in writing as soon as reasonably possible.

The parties should review the applicable project agreement to determine how cancellation will be handled, including payment for work already completed, approved expenses, outstanding obligations, and any applicable refund.

PIX3LS will discuss the status of the project and any amounts due or potentially refundable based on the agreed terms and applicable law. Refund eligibility and amounts will depend on the circumstances and the applicable agreement.

If either party is unable to fulfill an important project obligation, the parties should communicate promptly and, where appropriate, seek to resolve the issue before taking further action.

10. Intellectual Property and Ownership

Clients are responsible for ensuring they have the rights to materials they provide to PIX3LS, including text, photographs, logos, and other content.

Ownership, licensing, and permitted use of custom designs, source code, website content, and other project deliverables will be determined by the applicable quotation or written project agreement.

Third-party software, fonts, themes, plugins, libraries, stock assets, and other licensed materials remain subject to their respective license terms. Their use or transfer may be subject to restrictions imposed by their owners or providers.

Any transfer of ownership or grant of usage rights will be subject to the agreed project terms and any applicable third-party restrictions.

11. Hosting, Domains, and Maintenance

Hosting, domain registration, website maintenance, backups, ongoing updates, security monitoring, and technical support are included only when specified in the applicable quotation or agreement.

If these services are not included, clients may need to arrange them separately. Any ongoing service, renewal, or recurring fee will be subject to the applicable provider's terms and the arrangements agreed with PIX3LS.

Websites may depend on hosting companies, domain registrars, plugins, APIs, payment providers, or other third-party services. Their availability, pricing, policies, and continued operation are outside PIX3LS's direct control.

The responsibilities for hosting access, account ownership, renewals, backups, and post-launch support should be confirmed in the project agreement.

12. Third-Party Services and Integrations

A project may use third-party platforms or integrations, such as analytics tools, maps, messaging services, payment gateways, email services, or other external software.

These services may have their own requirements, fees, terms, privacy policies, and technical limitations. Clients may need to create accounts, obtain licenses, or pay providers directly where applicable.

PIX3LS will explain relevant third-party dependencies known to be part of the agreed scope. Changes made by external providers may require adjustments or additional work.

13. Website Content and Compliance

Unless otherwise agreed, clients remain responsible for the accuracy, legality, and suitability of the content, products, and services they publish through their websites.

Clients should ensure that their websites have any notices, permissions, policies, licenses, and other requirements applicable to their own business and activities.

PIX3LS can discuss technical implementation and website functionality, but this does not by itself constitute legal, tax, accounting, or other professional advice. Clients should obtain appropriate professional advice when needed.

14. Warranties and Service Limitations

PIX3LS will make reasonable efforts to deliver the services described in the agreed project scope.

Website functionality and performance may depend on the client's hosting environment, devices, browsers, third-party integrations, and other technical factors.

Unless expressly included in a written agreement or required by applicable law, ongoing maintenance, future enhancements, third-party service availability, and support after the agreed delivery are not automatically included in a project.

Nothing in these terms excludes or restricts any right, warranty, or remedy that cannot lawfully be excluded or restricted under applicable law.

15. Limitation of Liability

To the extent permitted by applicable law, PIX3LS will not be responsible for losses arising from circumstances outside its reasonable control, including third-party service interruptions, unauthorized actions by others, or inaccurate or unlawful content supplied by a client.

Each project should be assessed based on its agreed scope, responsibilities, and applicable circumstances. Nothing in these terms is intended to exclude liability where such exclusion is prohibited by law.

16. Privacy and Personal Information

PIX3LS handles personal information submitted through its website and related communications in accordance with its Privacy Policy and applicable data protection laws.

For information about what personal data we collect, how we use it, and the rights available to individuals, please review our Privacy Policy .

17. Changes to These Terms

PIX3LS may update these Terms & Conditions from time to time to reflect changes in our services, business practices, or applicable legal requirements.

The updated version will be published on this page with a revised effective date.

Changes to these website terms do not automatically amend an existing project agreement. Changes to an ongoing project will be handled in accordance with the applicable agreement and any mutually agreed written amendments.

18. Governing Law and Disputes

These terms are intended to be governed by the laws of the Republic of the Philippines, subject to applicable legal requirements.

If a disagreement arises regarding a project or these terms, the parties are encouraged to communicate in good faith and attempt to resolve the matter amicably.

If the matter cannot be resolved informally, either party may pursue the remedies available under applicable law.
